Volta Benefits Program – Terms & Conditions

These Volta for business terms and conditions (“THE AGREEMENT”) are entered into by and between the company identified within our electronic or printed Volta Benefits Program (“CUSTOMER”) and Volta.world (“VOLTA”), Inc a Florida corporation.  Capitalized terms used herein shall have the meaning ascribed to them in this agreement. (What Purpose )

This agreement sets forth the terms under which a Hospitality and Travel Partner (“Customer”)  may utilize customer billing in conjunction with Volta.world and it’s associated app and cloud based software.  Customer’s use of customer billing is subject to this agreement, as may be modified or updated by Volta from time to time, effective upon posting of an updated version of this agreement at Volta.world/terms&conditions.  Volta will provide a Hospitality and Travel Partner with a notice of any such modifications or updates via email and or regular mail.  The Hospitality and Travel Partner is responsible for regularly reviewing the Agreement.  Continued use of the Volta.world Terms & Conditions Agreement after any such modifications or updates shall constitute customer’s consent to such changes.

Definitions

“Active Account” shall have the meaning set forth in Section 2.2.

“Customer Billing” shall mean billing and payment process for the Volta.world service provided by Volta.world to the Hospitality and Travel Partner customer here under for User charges, with payment by customer either
(a.) by direct charge to a customer credit card
(b.) by direct charge to a customer debit card
(c.) by direct charge to a customer pre-paid card

“Customer Card” shall have the meaning set forth in section 2.0

“Customer User” shall mean an individual who is a customer of a Volta.world partnered Hotel, Cruise Ship, Private Aviation Carrier, or Travel Agency which is linked to the Volta.world app and or cloud based software.

“Dashboard” shall have the meaning set forth in section 3.1

End User” used throughout document but no definition provided.

“End User Terms” shall mean the terms and conditions applicable to all users of the Volta.world service, available at privacy policy and terms from the Volta.world app or cloud based software .  “End User terms” may be updated by Volta.world from time to time.

Definitions continued

“Proposed User” shall have the meaning set forth in section 2.2

“Gratuity Fees” shall mean the gratuity fees that are included in the corporate trip fare that is calculated from the base vehicle flat rate charge as set forth in the Volta.world Black Car Virtual Affiliate Network pricing grid which, is included in this agreement as well as being available via our app and cloud based software.

“Term” shall have the meaning set forth in section 5.1

“Volta App” shall mean Volta.world’s mobile application or mobile website (m.volta.world) required for use of the Volta.world service, which may be updated by Volta.world from time to time.

“Volta Website” shall mean Volta.world’s cloud based software required for use of the Volta.world service, which may be updated by Volta.world from time to time.

“Volta Service” shall mean Volta.world’s technology platform that is funded and maintained by Volta Technologies, Inc.  When the Volta.world technology platform is used in conjunction with the Volta.world app or cloud based software, a Hotel, Cruise Ship, Private Aviation Carrier or Travel Agency who has registered their account via one of our two technology platforms (“mobile app or responsive ready website”) will enable  their customer to request corporate on-demand “luxury” ground transportation from legally operated Black Car Service Partners (“Volta Black Car Vehicle Virtual Network”) who employ or hire licensed professional chauffeurs.

“User Charges” shall mean charges incurred by a Hotels’, Cruise Ships’, Private Aviation Carriers’’, or Travel Agencies’ customer for ground transportation obtained through the use of the Volta.world service, including any applicable tolls, gratuities, parking, domestic and foreign transaction fees, taxes and any other fees or charges that may be due for a particular use of the Volta.world services.

“Virtual Discount Codes” shall mean after a Volta.world’s Hotels’, Travel Agencies’, Cruise Ships’ or, Private Aviation Carriers’’ approved customer has created their user account via the Volta.world app, they can claim their virtual discount code which can be applied on current and future upcoming ground transportation trips.

“Syndication Referrals” shall mean when a registered Volta.world Hotel, Cruise Ship, Private Aviation Carrier or Travel Agency syndicates the Volta.world app and to their guests and or internal employees the registered Volta Benefits partner will earn a syndication referral fee on the completed ride.

1.9 Provision of Services

2.0 Access to Services

Upon execution of this agreement, Volta.world will establish  a Customer corporate account that will enable a registered end user to request on-Demand “luxury” ground transportation from our approved Virtual Black Car Service Partners who employ licensed professional chauffeurs. As part of the Corporate On Demand Luxury Ground Transportation app, and end user agrees to provide and maintain during the term a valid customer credit or debit card number (the “CUSTOMER CARD”) that will be charged for end user billing as set forth herein.  Using such end user account, Customer, at their discretion, may permit an end user to apply a virtual promotional discount code to rides that are associated with a Volta.world Hotel, Cruise Ship, Private Aviation Carrier or Travel Agency (“CUSTOMER”).  As LONG as the end user (“PASSENGER”) acknowledges that their debit or credit card will incur charges and not to a Volta.World Customer travel account, unless the Customer Account would like the incurred charges to be billed as a direct invoice.  End Users and or Customers agree to pay all User Charges incurred under customer billing, as well as any applicable Services Fees, in accordance with the terms and conditions of this agreement.  Subject to End User and Customer compliance with this agreement, Volta.world agrees to use commercially reasonable efforts to provide the Volta.world service and customer billing to the end user and the Customer account users as set forth herein.

2.1 Volta Policies 

Volta’s current policies and practices regarding the safety of all users of the Volta.world Service are available at Volta.world/safetycompliant

END USER ACKNOWLEDGES AND AGREES THAT THE VOLTA.WORLD SERVICE IS A TECHNOLOGY PLATFORM THAT ENABLES END USERS (“PASSENGERS”) TO REQUEST ON-DEMMAND AND PRE-RESERVED LUXURY GROUND TRANSPORTATION PROVIDED BY LEGAL BLACK CAR SERVICE PARTNERS WHO EMPLOY OR HIRE LICENSED AND PROFESSIONAL CHAUFFEURS.  VOLTA.WORLD IS NOT A LIVERY OPERATOR. VOLTA.WORLD DOES NOT GUARANTEE AVAILABILITY OF SELECT BLACK CAR AND MOBILITY ASSISTED VEHICLES, ON-TIME ARRIVALS OR DEPARTURES THEREOF, OR ANY OTHER SERVICES LEVELS RELATED TO INDEPENDENT BLACK CAR LIVERY OR MOBILITY ASSISTED OPERATORS AND THEIR EMPLOYEES OR SUBCONTRACTORS THAT MAY BE OBTAINED VIA THE VOLTA.WORLD SERVICE.

2.2 Active Account Required 

  • End User and Customer account user acknowledges and agrees that before an individual authorized by a Volta.world Hotel, Cruise Ship, Private Aviation Carrier or Travel Agency account end user can request on-Demmand or pre reserved ground transportation as well as apply virtual promotional discount codes such proposed end user (“PROPOSED USER”) must install the Volta.world app and open a free user account that will be associated with our app that can be accessed from the Volta.world app or responsive ready website from a compatible mobile device or desktop unit. The end user must maintain during the Term an active personal user account for the Volta.world service, which registration requires the entry of certain Proposed User personally identifiable information and a personal credit card number, and confirm the mobile number and valid email provided during the registration process (“ACTIVE ACCOUNT”).  world’s collection and use of any personally identifiable information to establish an Active Account shall be set forth on Volta.world/terms&conditions and may be updated by Volta.world from time to time.
  • End user acknowledges that they may be suspended or banned from use of the Volta.world service due to future or past violations of the End User Terms (“VIOLATIONS”) and that Volta.world shall have no obligation or liability related to a Proposed End User that is unable to obtain or maintain an Active Account for the purposes of Customer Billing hereunder due to Violations.

2.3 VIRTUAL PROMOTIONAL DISCOUNT CODE ACCOUNT LINKING

  • To apply virtual promotional discount codes to an Active User account, Proposed users must have an active account that includes drop off and pick-up information that is associated with a Volta.world Customer Account (“HOTEL, CRUISE SHIP, PRIVATE AVIATION CARRIER, TRAVEL AGENCY”). The active account must include the end users full legal name, email address, phone number and active debit and/or credit card.  (g.,johndoe@gmail.com).  Volta.world strictly prohibits the use of sharing VIRTUAL PROMOTIONAL DISCOUNT CODES with other active users.  End Users can apply the Virtual Promotional Discount Account Linking Code (“LINKING CODE”) for the sole purpose of providing discounted rides to passengers under the Volta Benefits Program, which include Volta Customer Accounts.
  • Passenger acknowledges that the verification and linking described in Section 2.3 (a) could require Volta to contact each Proposed User using the Linking Data, and Customer agrees to inform, and get all necessary consents from each Volta.world customer account for Volta to contact such Proposed User for the purpose of implementing the Promotional Discount to the applicable Active End User Account. Customer shall ensure that Linking Data provided to Volta is accurate and complete, and Volta shall not be liable to Customer, Account or any other party with respect to inaccurate or incomplete Linking Data supplied by the Customer Account.
  • A End User’s personal account will only be eligible for promotional discounts on scheduled trips when the account is linked to a Volta.world approved customer account. Non-customer account trips can still be scheduled through the Volta app but will be billed at  full cost.

2.4 Responsibility for User Activity

It is agreed and understood  that (a) End User is responsible for all User Charges incurred by Customer Users on an active user profile account.  User charges may be subject to price changes at any time, including without limitation, additional charges known as Chauffeur Gratuity and Per Mileage charges will be reflected on the total trip amount.  No “SURGE PRICING” will ever be implemented into a Volta trip fare. Customer will be charged for any customer NO SHOWS. Finally, as between End User and Volta, End User shall be responsible for any additional wait time charges or hourly charges that are applied to the scheduled trip which is scheduled through the app or toll free reservation number.

2.5 Restrictions

 Registered Customer Account to the best of it’s ability agrees to, and to cause all partnered registered end users to, use the Volta app and or cloud based software as set forth in this agreement and and the End User Terms; provided, however, that in the event of a conflict between this Agreement and the End User terms with respect to Customer any authorized Customer User employing Customer Billing with the Volta Service, the terms of this Agreement Volta shall control.  Volta reserves the right to suspend a End Users active Account for violations of this Agreement or the End User Terms.  In the event that a End User’s Active Account is suspended or terminated pursuant to the End User Terms, such End User’s access to Virtual Promotional Discount Code Account Linking shall also be suspended.  End User shall not and will not share Promotional Discount Codes, authorize others to, (a) decompile, disassemble, reverse engineer  or otherwise attempt to derive the source code or underlying technology, methodologies or algorithms of the Volta app or cloud based software, except to the extent allowed by applicable law, (b) sublicense, lease, rent, sell, give, or otherwise transfer or provide the Volta app or Responsive Ready Website to any unaffiliated third party, © up charge, increase or otherwise modify the End User Charges as calculated through the Volta app or Responsive Ready website for any usage of the Volta Service or (d) impose any additional fees or charges on a End User related to use of the Volta Service.  Volta reserves all rights not expressly granted to Customer Accounts or End Users under this Agreement.

2.6 Account Administration

 Customer Administration Dashboard

 Customer Accounts shall be provided with access to Volta’s browser-based online Administration dashboard.  Volta’s primary contact with the End User (“Passenger”) shall be by way of the Customer’s Account Administrator set forth on the Cover Sheet of the “Benefits Program” Agreement.  The Customer Account Administrator is the primary contact lead for Volta partnered Hotels, Cruise Ships, Travel Agencies, Private Aviation Carriers and Travel Agency Accounts.  Volta will inform the Administrator of Dashboard login credentials.  The Dashboard will enable Customers to (a) view a current list of all Proposed End Users who have been invited to and linked their Account to, Customer Billing, (b) provide additional linking data to invite additional Proposed End Users, (c ) revoke any End User’s access to Customer Billing, (d) prepare and review activity reports of End Users using Customer Billing, (e) disable all current End Users of Customer Billing, (f) manage and update the End User Card on file, (g) review and manage payment invoices, as applicable, (h) settle outstanding balances on the End User account, and (I) view current, appoint new, and remove Administrators.  Volta reserves the right to add, remove and update features and functionality of the Dashboard at any time.

2.7 End User Administration

 End Users (Passenger) shall be provided with access to Volta’s browser-based online End User dashboard.  Volta’s secondary contact with the End User (“Passenger) shall be by way of Volta Customer Support.  Customer Support can be accessed two ways, mobile app or browser-based online website.  End Users can reach a Volta Representative by email, Reservations@Volta.world or by calling Volta Support at 1.833.865.8296 if they have problems booking their trip request or experience any additional problems.  The End User Dashboard will enable End Users to (a) Book Trip Requests, (b) View A Summary of Their Trips, (c ) View and Update credit/Debit cards you have on file, (d) View A Summary of Your Invoices, (e) View your Account Information, (f) View stored locations and trips.

2.8 Customer Account User Updates

 It is the Customer Accounts sole responsibility to keep and maintain an accurate list of current authorized Customer End Users entitled to access Customer billing via the Dashboard.  Volta may review the current list of Customer End Users from time to time via the Dashboard to maintain and support the Volta app and cloud based software to ensure compliance with this Agreement.

2.9 Fees and Payments

 In consideration of Volta’s provision of the Volta.world Services and Billing as set forth herein, the End User shall pay to Volta all User Charges and any applicable fees Volta may charge for certain functionality and features (collectively, the “Fees”) as set forth below unless the Customer Account notifies Volta billing of any authorized changes.

3.0 Volta Benefits Program – Terms & Conditions

Terms and Conditions 

These terms and conditions (the “Volta Benefits Program Terms”) govern the Volta benefits program.  End Users (“PASSENGERS”) who have an active Volta account can receive and redeem benefits once each registrant (a “Participant”) agrees that he/she has read, understood and accepted these Volta Benefits Program Terms. Registered Hospitality and Tavel Partners and Volta.World (“Volta”) may at any time amend, modify or supplement these Volta Benefits Program Terms, and continued participation in the Volta Benefits Program will constitute a Participant’s acceptance of any such amendment, modification or supplementation.

3.1 Enrolling in the Volta Benefits Program

 

3.2 Eligibility: Registration for the Volta Benefits Program requires that an individual are an approved Hospitality and Travel Partner’s Guest Patron or Employee have an active Volta account and that such individual’s Hospitality and Travel Partner’s Reservation are under the same name, use the same email address and have enabled user Account Linking Data.  Individuals may register for an Volta account for free by downloading the Volta mobile application through the Google Play, App Store or at www.volta.world

3.3 Limitations on Eligibility: An individual that is not a Hospitality Travel Guest Patron or Employee will not be eligible to enable Account Linking Data to discount the Volta Trip.

3.4 Registration: Once an individual opens a free Volta Account at www.volta.world or through the Volta mobile application they will automatically be registered and approved to receive Promotional Discount Points and or awards that are earned when they stay at a registered Volta Hospitality and Travel partner.  Individuals who do not have access to a computer, smart-phone or tablet device will need to call our Customer Support Center at +1 (833) 865.8296 to book their Volta Black Car Service Partner.  A Volta Customer Service Support Agent will manually generate a promotional code that will be applied and used to discount the Volta trip.

3.5 Timing:

  1. Promotional Codes: An individual that has booked an overnight stay at a registered Volta Hospitality Travel Partner can apply promotional codes to discount one-way, groundtrip or Hourly Volta Trips.
  2. Duration: Participants can only apply promotional discount codes during the duration of their stay at registered Volta Hospitality Travel Partnered accounts.  Promotional Discount Codes can not be redeemed or transferred for future dates.
  3. Frequency: For every overnight reservation a Participant will receive a promotional discount code that can be applied to one-way, roundtrip or hourly Volta trips.  Promotional Discount Codes can be redeemed for free through the Volta mobile application or by calling a Volta Customer Support Center agent at +1 (833) 865.8296 after their reservation has been placed through a registered Volta Hospitality Travel Partner’s website or mobile app.
  4. “Volta Usage” means a single use of the following Volta products worldwide: Volta Sedan, Volta Executive Sedan, Volta Elite, Volta SUV, Volta Executive SUV, Volta Sprinter, Volta Coach and Mobility Assisted Volta’s (collectively know as the “Volta Virtual Black Fleet”) (1) that is booked by a Participant using such Participant’s Volta Account, (2) that is booked by an authorized Volta Customer Support Services Representative via toll free at + 1 (833) 865.8296 for the registered Participant, (3) that is booked by an authorized Corporate Travel Manager for the Participant’s current employer, (4) that is booked by an authorized travel Agent acting on behalf for the Participant.

3.6 Volta Program Terms: Unless otherwise specified in these Volta Program Benefits Terms, the terms and conditions can be found in the Program Benefits Term Agreement that was provided to you by an authorized Volta employee via email, in-person and regular mail.

3.7 Definitions: To the extent that definitions are in BOLD in these Benefit Program Terms, the terms have the meanings specified in sections 3.1 through sections 3.6.

3.8 Non Participation in the Volta Benefits Program

 3.9 Non Participation by Participant: A Participant can decline his/her promotional discount rewards at any time, simply by declining to apply the promotional discount codes associated with Volta partnered Customer accounts.

3.9 Non Participation a registered Hospitality Travel Partner and Volta: The registered Volta Hospitality Travel Partner may suspend the Volta Benefits Program or terminate a Participant’s ability to participate in the Benefits Program by providing written notice 30 days prior to the effective non Participation date.  Written notice must be delivered to a Volta company representative via regular mail, express mail or email.

4.0 Eligibility Notification: A Participant must promptly notify a Volta Customer Support Representative in the event he/she is unable to apply their promotional discount code or did not receive his/her promotional discount code once the trip was requested.  A Volta Customer Support Representative will contact a registered Volta Hospitality and Travel partner’s Representative and work in good faith to resolve the Eligibility Notification issue.   Volta and it’s Employees can not guarantee any Eligibility Notification issues will be rectified or resolved.

4.1 Interpretation of Volta Benefit Program Terms:  All interpretations of these Volta Benefits Program Terms will be at the registered Hospitality and Travel Partner’s and Volta’s sole discretion, where Volta’s decisions will be final.  In the event of any discrepancy between the English version and any translated version of these Volta Benefits Program Terms, the English version will prevail.

4.2 Proprietary Rights

 

4.3 No Publicity

 Neither party may use or reference the other party’s name, logo, trademarks or service marks in a press release or otherwise without the prior consent of such other party in each instance.

4.4 Ownership

Volta and it’s affiliates are and shall  remain the owners of all right, title and interest in and to the Volta app and Volta Service, including any updates, enhancements and new versions thereof, and all related documentation and materials provided or available to Customer or any End User or any Proposed End User or Customer User in connection with this Agreement.

4.5 General Conditions

 

4.6 Governing Law

This Agreement shall in all respects be interpreted, construed in accordance with, and governed by the internal laws of the State of Florida, without regard to its principles regarding conflict of laws.  In the event of any litigation between the parties related to this Agreement, the parties agree to submit to personal and exclusive jurisdiction for such action in the State Courts for Dade County, Florida or the United States District Court for the Southern District Of Florida.

4.7 Notices

Any notice required or permitted to be delivered to Customer by this Agreement shall be delivered via email, regular mail or express mail to the Hospitality Travel partner’s Corporate address.  Any notice required or permitted to be delivered to Volta by this Agreement shall be submitted via email, regular mail or express mail to Volta’s corporate headquarters located at 429 Lenox Ave, Miami Beach, FL 33139.

4.8 Force Majeure

Nonperformance of either party under this Agreement shall be excused to the extent and during the period that performance is rendered impossible by strike, fire, flood, earthquakes, governmental acts or orders or restrictions, failure of suppliers, or contractors, or any other reason where failure to perform is beyond the reasonable control and not caused by the negligence of the non-performing party.

4.9 Severability

If any provision or provisions of this Agreement shall be held to be invalid, illegal or unenforceable, the validity, legality and enforceability of the remaining provisions shall not in any way be affected or impaired thereby.

5.0 Assignment

This Agreement is not transferable and may not be assigned by Customer, in whole or in part, without the prior written consent of Volta, provided that Customer may assign this Agreement without such consent, but with notice to Volta, in connection with a merger or a sale of all of the equity or assets of Customer.  Subject to the foregoing, this Agreement shall be binding upon all successors and assigns of a party.

5.1 Attorney’s Fees

In any litigation between the parties, the prevailing party shall be entitled to reasonable attorney fees and all costs of proceedings incurred in enforcing this Agreement.

5.2 Headings 

Section headings are for convenience only and shall not be considered in the interpretation of this Agreement.

5.3 Independent Contractor 

Volta and Customer are and shall remain independent contractors.  Neither party is the representative or agent of the other and neither party shall have any power to assume any obligations on behalf of the other.

Customer hereby represents that the individual signing and accepting this Agreement is authorized by the Hospitality and Travel Partner’s authorized representative to bind, and does hereby bind, the Hospitality and Travel Partner to the terms hereof.
